ARC Funds Secures Strategic Investment in ausbiz TV Pty Ltd Convertible Notes
ARC Funds Limited (ASX: ARC) has announced a strategic investment in ausbiz TV Pty Ltd, acquiring AU$2.15 million in convertible notes from existing holders for a purchase price of AU$430,000, representing 20% of the face value. The consideration will be satisfied entirely through the issuance of ARC shares at AU$0.105 per share, amounting to 4,095,237 new shares.
In addition, ARC will issue a further 372,167 shares, also priced at AU$0.105, as partial settlement of AU$78,155 in accrued interest, equivalent to 50% of the total interest amount. The remaining interest has been converted into a new loan agreement between ARC and the ausbiz Group. The total number of new shares issued will be 4,467,404, executed under ARC’s existing placement capacity pursuant to ASX Listing Rule 7.1. This acquisition marks a strategic step for ARC in expanding its media and financial information investment portfolio through a favorable and value-accretive transaction.
