Infomedia Receives FIRB Approval for Takeover Scheme

Infomedia Limited (ASX: IFM) has confirmed that the Bidder, McQueen BidCo Pty Ltd, has received Foreign Investment Review Board (FIRB) approval for its proposed acquisition of all Infomedia shares via a scheme of arrangement. FIRB issued a no-objection letter, satisfying one of the key conditions under the Scheme Implementation Agreement.

The scheme still requires shareholder approval, court approval, and satisfaction or waiver of remaining conditions outlined in the Shareholder Booklet. The Infomedia Board unanimously recommends that shareholders vote in favour of the scheme, in the absence of a superior proposal and subject to the Independent Expert continuing to find the scheme in shareholders’ best interests. Directors also intend to vote all shares they control in favour.
