Takeover Interest Intensifies

FleetPartners Group Limited (ASX: FPR) has received three revised indicative proposals from potential acquirers seeking to purchase all outstanding shares in the company through schemes of arrangement. In an ASX announcement dated 14 September 2026, FleetPartners confirmed that revised non-binding and conditional offers had been received from SG Fleet, ORIX Corporation and the Sumitomo Consortium. The proposals followed an initial phase of limited commercial and financial due diligence provided to the interested parties.

ORIX and Sumitomo Lead on Offer Price

The revised proposals show differing indicative valuations. SG Fleet has proposed AU$4.55 per share, while both ORIX and the Sumitomo Consortium have offered AU$4.65 per share. All three proposals remain subject to various conditions and additional due diligence requirements, meaning they do not yet represent binding offers. Meanwhile, Element Fleet Management, which had previously expressed interest, advised the FleetPartners Board that it would not submit a revised proposal.

Further Due Diligence Underway

FleetPartners' Board has decided to provide SG Fleet, ORIX and the Sumitomo Consortium with access to another stage of due diligence. The decision was based on factors including the revised indicative prices and the respective terms and conditions attached to the proposals. The next phase could provide the interested parties with an opportunity to further assess FleetPartners before determining whether to progress their proposals.

Shares Respond Positively

FleetPartners shares were trading at AU$4.550, up AU$0.419 or 10.17%. The gain brings the market price close to the AU$4.55 indicative proposal from SG Fleet and below the AU$4.65 proposals submitted by ORIX and the Sumitomo Consortium. The market response reflects the significance of the competing approaches, although investors should note that the proposals remain preliminary.

No Certainty of a Transaction

FleetPartners cautioned that there is no certainty that any of the revised proposals will develop into a binding offer or that a transaction will ultimately occur. Shareholders are also not required to take any action at this stage.

Conclusion

The latest development puts FleetPartners at the centre of a competitive takeover process, with three parties now proceeding to further due diligence.
