Americas-focused copper producer Capstone Copper Corp. (ASX: CSC) announced on 21 September 2026 that it has signed a definitive agreement to offload Cozamin, its copper-silver-zinc-lead operation in Zacatecas, Mexico. The buyer is Canadian miner Luca Mining Corp., which already runs two underground mines in Mexico's Sierra Madre belt.
How the consideration stacks up
Capstone stands to collect up to US$385 million across four components:
US$275 million in cash at closing, calculated on a cash-free, debt-free basis with a 31 October 2026 lock-box date.
US$15 million in Luca shares, issued at completion.
US$35 million deferred, due on the first anniversary of closing and payable in cash, Luca shares or both, at Luca's discretion.
Up to US$60 million contingent, paid across 2027, 2028 and 2029. Each year earns US$10 million, US$15 million or US$20 million depending on the average LME copper price, starting from a US$7.00/lb threshold and topping out at US$8.51/lb or above.
Why sell now
Chief executive Cashel Meagher said Cozamin had supplied steady cash flow since its first full operating year in 2007, but the sale sharpens the portfolio and frees capital for higher-return projects. Capstone's remaining assets include Pinto Valley in Arizona, Mantos Blancos and Mantoverde in Chile, and the fully permitted Santo Domingo project nearby. Holding Luca stock also keeps Capstone exposed to further exploration success at Cozamin.
Path to completion
Closing is targeted for the fourth quarter of 2026, pending customary conditions, stock exchange sign-off and approval from Mexico's national antitrust commission. The deal requires no shareholder vote and carries no financing condition. Scotiabank is advising Capstone.
Market reaction
Capstone shares edged up AU$0.179, or 1.237%, to AU$14.730. The modest gain suggests investors see the sale as a sensible portfolio tidy-up rather than a game changer. The real value will depend on how effectively Capstone redeploys the cash into its Chilean and US growth pipeline, and on whether copper prices stay high enough to unlock the full earn-out.
