Southern Cross Electrical Engineering Announces Major Acquisition

Southern Cross Electrical Engineering Limited (ASX: SXE) announced on 12 October 2026 that it had entered into an agreement to acquire Entire Operations Pty Ltd, a Melbourne-based specialist in fire protection and mechanical services. The company's shares advanced 2.9% to AU$5.135, drawing investor attention to its latest expansion initiative.

The acquisition will strengthen SCEE's presence in Victoria while extending its capabilities into heating, ventilation and air-conditioning (HVAC) services.

Acquisition Details and Financial Commitments

SCEE intends to acquire Entire for a maximum purchase consideration of AU$112.1 million, using its existing cash reserves. The transaction includes several financial components:

  • Initial Cash Payment: AU$70 million payable upon completion.
  • Base Performance Payments: Up to AU$25.8 million linked to EBIT targets during FY27–FY29.
  • Additional Earn-Out Payments: Up to AU$16.3 million dependent on achieving higher profitability milestones.
  • Expected Completion: Approximately 1 November 2026, subject to regulatory and customary approvals.

Entire's Financial Performance and Operational Strength

Entire delivered FY26 revenue of AU$191 million alongside earnings before interest and tax (EBIT) of AU$17.5 million.

The business operates with more than 490 employees, approximately 120 active clients and nearly 200 managed sites. Its project opportunity pipeline exceeds AU$800 million.

Data centres represented approximately 25% of FY26 revenue, while maintenance services and smaller projects contributed around 35%.

These operations provide SCEE with greater exposure to established customer relationships and repeat business opportunities.

FY27 Earnings Guidance Reflects Expansion Benefits

Following the announcement, SCEE increased its FY27 EBITDA forecast to at least AU$110 million, incorporating an anticipated AU$10 million contribution from Entire.

The acquisition is also expected to deliver pro forma FY27 earnings-per-share accretion of at least 18%.

Management anticipates additional opportunities through integrated service offerings and wider geographic coverage.

Outlook: Growth Opportunities Remain in Focus

The acquisition could improve SCEE's market positioning across infrastructure, data centres and energy-efficient building services.

However, regulatory clearance, successful business integration and delivery of forecast earnings remain important considerations.

Investors will monitor transaction completion and future financial updates to assess whether the expansion can support sustainable profitability and continued share price momentum.
