Austral Launches Higher-Valued Bid for Hammer Metals in Strategic Copper Expansion
Austral Resources Australia Ltd (ASX: AR1) has submitted an unsolicited, non-binding proposal to acquire Hammer Metals Ltd through a scheme of arrangement, offering an implied value of AU$0.087 per Hammer share, or approximately AU$80.8 million. The proposal combines AU$0.080 per share in Austral shares with an estimated AU$0.007 per share through a separate company holding Hammer's Western Australian gold assets. The offer represents a 29.9% premium to the existing proposal from Larvotto Resources. Austral believes the transaction would strengthen its copper portfolio by adding Hammer's Kalman deposit and expanding its resource base across northwest Queensland. The combined business would benefit from operational synergies, including access to the Rocklands processing facility, a larger exploration footprint and enhanced development opportunities. Hammer's board has determined the proposal could potentially qualify as a superior offer and will engage with Austral while continuing to assess both competing proposals.
