hummgroup Grants Limited Diligence Access to TAG Amid AU$0.58 Takeover Proposal.

humm Group Limited (ASX: HUM) has provided an update on the non-binding indicative proposal from The Abercrombie Group (TAG) to acquire hummgroup for $0.58 per share in cash. The company’s Independent Board Committee (IBC) has decided to grant TAG limited, non-exclusive access to non-public information to determine if a refined offer can be made that delivers value and certainty to shareholders. TAG is expected to complete critical due diligence and submit an updated proposal by mid-September 2025.

As TAG is affiliated with hummgroup’s Chair and major shareholder Andrew Abercrombie, strict governance protocols have been established to manage conflicts of interest, in line with the Takeovers Panel’s guidance. hummgroup clarified that the current proposal may or may not lead to a binding offer. The company will announce its FY2025 results on 25 August 2025 and will continue to comply with its continuous disclosure obligations to keep shareholders informed.
