New Hope Announces AU$1.8 Billion Malabar Merger to Strengthen Australian Coal Operations

New Hope Announces AU$1.8 Billion Malabar Merger to Strengthen Australian Coal Operations Source: Kapitales Research

Highlights:

  • A proposed merger aims to establish a larger ASX-listed coal producer with a combined market capitalisation of approximately AU$6.3 billion.
  • The all-share transaction values the target business at approximately AU$1.8 billion, with shareholders receiving shares in the combined entity.
  • The proposed combination is expected to strengthen coal production capacity, expand resources and create operational efficiencies.

New Hope Announces Strategic Merger with Malabar Resources

New Hope Corporation Limited (ASX: NHC) announced on 19 October 2026 that it had entered into a binding Scheme Implementation Deed with Malabar Resources Limited to combine their operations through a court-approved scheme of arrangement. Under the agreement, New Hope will acquire the remaining Malabar shares it does not already own, creating a larger Australian coal producer with an estimated market capitalisation of AU$6.3 billion.

New Hope shares were trading at AU$5.760, declining AU$0.080 or 1.369%, according to the supplied market data. The proposed combination is expected to establish a stronger production platform, with a pathway towards approximately 19 million tonnes of annual saleable coal production.

Transaction Valued at Approximately AU$1.8 Billion

Under the proposed scheme, eligible Malabar shareholders will receive 0.5 New Hope ordinary shares for every Malabar share held, subject to applicable adjustments. Based on New Hope's closing share price of AU$5.84 on 16 October 2026, the consideration represents approximately AU$2.92 per Malabar share. The transaction implies a fully diluted equity valuation of approximately AU$1.8 billion for Malabar and an enterprise valuation of approximately AU$2.4 billion.

Following completion, existing New Hope shareholders are expected to hold approximately 79% of the combined business, while Malabar shareholders, excluding New Hope, will own approximately 21%. New Hope has also proposed issuing up to 227,818,218 fully paid ordinary shares as consideration, with the issue scheduled for 11 March 2027.

Maxwell Mine to Support Long-Term Production Growth

A central component of the transaction is Malabar's Maxwell Underground Mine in New South Wales' Upper Hunter Valley. The operation commenced longwall coal production in April 2026 and is targeting up to 5.5 million tonnes of annual saleable production following its planned expansion.

The mine also holds approximately 2,320 million tonnes of reported coal resources, offering potential opportunities for future development. New Hope expects the combination to deliver operational benefits across logistics, infrastructure, coal marketing, procurement and financing.

Regulatory Approvals and Transaction Timeline

Both companies' boards support the proposed transaction, with Malabar's board recommending shareholder approval, subject to customary conditions. The scheme requires Malabar shareholder approval, court authorisation, relevant regulatory clearances and approval from the Japan Fair Trade Commission. Implementation is targeted for March 2027, subject to the satisfaction of outstanding conditions.

Outlook

The proposed merger represents an important step in New Hope's strategy to expand its portfolio of long-life, high-quality coal assets. Successful integration could strengthen production capabilities, improve operational efficiencies and provide additional growth opportunities across the Upper Hunter region. However, the transaction's completion and anticipated benefits depend on regulatory approvals, shareholder support, and operational execution.
