Market Alert: Trump Revives Trade War Playbook with Tariff Threats
Johns Lyng Group Limited (ASX: JLG) has confirmed receipt of a non-binding indicative proposal from Pacific Equity Partners (PEP) to acquire 100% of JLG's issued shares via a scheme of arrangement. The proposal, received after market close on 16 May 2025, includes an offer for select senior management — including Managing Director and CEO Scott Didier, JLG's largest shareholder — to receive scrip consideration, thereby retaining an interest in the business.
An Independent Board Committee comprising Chair Peter Nash and three non-executive directors has been formed to assess the offer. The Committee has granted PEP a period of exclusivity until 5:00 pm AEST on 11 July 2025 to conduct confirmatory due diligence and potentially submit a binding offer. Notably, a fiduciary exception will not apply during a critical 4-week window starting 29 May 2025. JLG has appointed J.P. Morgan and Nomura as financial advisers and MinterEllison as legal counsel.
