Lodgement of Court Orders and Scheme Implementation Update

Johns Lyng Group Limited (ASX: JLG) has reported that the Supreme Court of New South Wales has provided final approval for the scheme of arrangement under which Sherwood BidCo Pty Ltd (the Bidder) will take full ownership of all issued JLG shares. Following the Court’s ruling on 13 October 2025, a certified copy of the orders was officially lodged with the Australian Securities and Investments Commission (ASIC), confirming that the Scheme is now in effect. Consequently, trading in JLG shares on the ASX is scheduled to cease at the end of trading on Tuesday, 14 October 2025.

The Scheme is expected to be implemented on Thursday, 23 October 2025. Shareholders recorded at 7:00pm (Sydney time) on Thursday, 16 October 2025, will receive their Scheme payment—either $4.00 in cash for each share or, for those eligible and choosing Scrip Consideration, four Topco shares per JLG share, subject to rounding.
