The Agency Group Clarifies Aura Discussions as Potential Proposal Remains Non-Binding
The Agency Group Australia Limited (ASX: AU1) has responded to recent media speculation surrounding a possible transaction with Aura Group, confirming that discussions have taken place but emphasising that no binding agreement has been reached. The company stated that conversations initially focused on establishing and managing its rent roll fund and exploring financing opportunities for rent roll acquisitions, with negotiations still ongoing and no certainty of completion.
The company also disclosed that Aura Group has submitted a confidential, non-binding and conditional proposal for a scrip-for-scrip merger based on an indicative price of AU$0.04 per AU1 share. The proposal remains subject to several conditions, including due diligence, regulatory approvals, definitive transaction documents and Aura Group's proposed ASX listing. While AU1 has granted Aura Group a period of exclusivity to conduct due diligence, the company stressed that negotiations remain incomplete and shareholders are not required to take any action at this stage. Any material developments will be communicated in line with ASX disclosure obligations.
