Healius Limited (ASX: HLS), an Australian healthcare company specialising in pathology and diagnostic services, attracted investor attention on 23 October 2026 after outlining its operational progress and strategic priorities at its Annual General Meeting (AGM). The company’s AGM-related announcements covered shareholder voting results, financial performance and its outlook for FY27. According to the supplied market data, Healius shares were last quoted at AU$0.430, up AU$0.015 or 3.614% on the day.

Shareholders Reject Remuneration Report

In its announcement dated 22 October 2026, Healius confirmed that shareholders voted against adopting the FY26 Remuneration Report. The resolution received 349.8 million votes against, representing 76.29% of votes cast, compared with 108.7 million votes in favour.

With opposition exceeding 25% of the votes cast, Healius recorded its first remuneration strike under the Corporations Act. Other resolutions passed at the meeting included the re-election of Charlie Taylor as a director, the election of Bruce Robinson and Steven Rubic, and approvals relating to the Non-Executive Director Share Plan and remuneration arrangements for the chief executive officer.

FY26 Financial Performance and Operational Improvements

Healius reported a 2.1% increase in group revenue to AU$1.37 billion for FY26. Underlying EBITDA rose 8.1% to AU$258.6 million, while underlying EBIT increased 76.6% to AU$30.2 million. The company attributed its progress to improved operational performance, disciplined cost management and a stronger revenue mix. Its T27 strategy continues to focus on simplifying operations, modernising laboratories, improving customer service and expanding digital capabilities. During FY26, the company delivered annualised corporate cost savings of AU$24.4 million. It also reported progress in laboratory automation, digital referrals and AI-assisted operational processes.

FY27 Outlook and Strategic Developments

Managing Director and CEO Paul Anderson reaffirmed the FY27 EBIT guidance previously provided with the full-year results. Pathology revenue increased 1.6% in the first quarter of FY27 despite a 4.9% decline in episode volumes. Excluding the impact of two lost major hospital contracts and a reduced ACC footprint, like-for-like episode volumes grew 1.1%. The average fee increased 6.0%, supported by stronger revenue from hospitals, genomics, veterinary diagnostics and commercial contracts.

Healius has agreed to divest Agilex Biolabs to Novotech in a transaction valued at AU$160 million. The deal remains subject to regulatory clearance and customary closing requirements, with completion anticipated in the second half of FY27. Once finalised, the sale is expected to improve Healius’ financial flexibility and allow management to concentrate more closely on expanding its core pathology operations.

Conclusion

Healius’ latest AGM updates highlight improved underlying earnings, continued operational transformation and a reaffirmed FY27 outlook. However, the remuneration strike and ongoing healthcare-sector cost pressures remain important considerations for investors.
