Source: Kapitales Research
Highlights
Botala Energy Ltd has secured firm commitments to raise AU$1.35 million through a targeted share placement to advance its 100%-owned Serowe Coal Bed Methane (CBM) project in Botswana.
Funds will support Serowe-3.5B gas-flow testing, maiden reserves certification and completion of the Phase 2 BFS.
Botala Energy is working to finalise MDCB’s proposed AU$3.6 million project investment, previously announced on 8 December 2025.
Botala Energy Announces Capital Raising for Serowe Project
Botala Energy Ltd (ASX: BTE) has received firm commitments from sophisticated investors for a targeted placement of new fully paid ordinary shares, raising AU$1.35 million before costs. The company’s shares were trading at AU$0.045, down AU$0.004 or 8.163%. The funding is intended to support key technical and development milestones at the Serowe Coal Bed Methane (CBM) project in Botswana, focusing on evaluating commercial gas-flow potential and advancing project feasibility.
The company is progressing its Pitse Pilot as part of its broader strategy to develop a potential coal bed methane-to-liquefied natural gas production pathway for domestic and regional energy markets in Southern Africa.
Share Placement Structure and Use of Funds
The placement comprises approximately 30 million new shares priced at AU$0.045 each. Around 22.8 million shares are expected to be issued under Botala’s existing ASX Listing Rule 7.1 capacity. A further 7.2 million shares are proposed for board participation, subject to shareholder approval at a general meeting. The issue price represents an approximately 18% discount to the five-trading-day volume-weighted average price of AU$0.055.
Proceeds will fund continued flow testing of Serowe-3.5B, targeted maiden reserves certification with Sproule ERCE, finalisation of the Phase 2 BFS, and general working capital and offer expenses. Botala also intends to progress discussions concerning MDCB’s proposed investment of approximately AU$3.6 million, which remains subject to commercial agreements.
Gas Testing and Project Development Outlook
Chief Executive Officer Kris Martinick said the funding would help advance the Pitse Pilot and assess whether the targeted commercial gas-flow benchmark can be achieved. Reaching this benchmark could help reduce project uncertainty and support the reserves classification assessment and feasibility study. The placement, excluding shares allocated to the board, is expected to be completed around 2 November 2026. The company intends to introduce a Share Purchase Plan (SPP) through which eligible shareholders can apply for additional shares at the placement price of AU$0.045 each.
The funding is expected to support further technical evaluation and development planning. However, commercial progress will depend on gas-flow testing results, reserves assessments, operational performance and the completion of relevant investment agreements.
