The Ingenia board has concluded that Warburg Pincus's amended approach is not, and could not reasonably become, a Superior Proposal under the AVID process deed.
Warburg Pincus remains shut out of due diligence, while AVID's revised indicative offer of AU$5.45 cash per security stays in place.
Separately, Ingenia told the ASX that no one acting for it briefed the media before two October announcements.
Introduction
Ingenia Communities Group (ASX: INA) has turned down the latest amended approach from Warburg Pincus and kept backing its process with AVID Property Group Holdings. Its securities were last trading at AU$5.295, down about 0.47% on the session. The group also lodged a response to an ASX query under Listing Rule 15.7.
The AVID Proposal and Warburg's Amended Terms
AVID used its matching right under the process deed earlier this week. Its revised non-binding indicative proposal is AU$5.45 cash per stapled security.
Under AVID's terms, that price would not be cut by any half-year distribution of up to 5 cents per security for the six months to 31 December 2026. The board had judged this at least equal to Warburg Pincus's AU$5.45 plus that distribution.
On 3 November, Warburg Pincus sent Ingenia a letter with an amended proposal. Price is unchanged.
First, it would amend its draft process deed so a rival bidder could keep due diligence access for 4 days after a matching proposal is lodged.
Second, Ingenia would need to restore due diligence access for Warburg Pincus and its co-investors straight away and give AVID a matching right notice. Subject to AVID's matching right, Ingenia would also have to end the AVID process deed and sign the amended deed with Warburg Pincus no later than 6 November 2026.
The Board's Position and the ASX Query
The board's view is that the amended approach does not meet the Superior Proposal test set out in the AVID process deed. Nor, in its view, could it reasonably come to do so.As a result, the fiduciary exception that would allow Warburg Pincus back into due diligence has not been triggered, and its access remains cut off. Any further approaches will be assessed under the AVID deed.
The ASX had asked how proposal details reached media reports ahead of Ingenia's announcements of 26 and 28 October. Ingenia said directors, senior executives and its financial and legal advisers had confirmed in writing that they gave no statement to the media.
The group said it did not know how the information was published. Draft announcements had been shared under contract with Peet, AVID and Warburg Pincus, each bound by confidentiality, and all parties have been reminded of those duties.
Share Price Movement
Ingenia securities were at AU$5.295 in morning trade, a fall of roughly 0.47%. About 363,447 securities had changed hands at that point.
That price sits below the AU$5.45 cash figure in both the AVID and Warburg Pincus proposals.
What Investors Should Watch
The 6 November 2026 deadline named in Warburg Pincus's conditions.
Any further proposal from either bidder and how the board treats it under the AVID process deed.
Further Ingenia announcements on the AVID process.
Conclusion
Ingenia's board has declined to treat Warburg Pincus's amended approach as a Superior Proposal and has kept it out of due diligence. AVID's revised indicative offer of AU$5.45 cash, with the distribution left on top, remains the proposal the board is pursuing. Ingenia also told the ASX its people did not brief the media. The securities were trading at AU$5.295, down about 0.47%.
