A second approach, still rebuffed

Seniors accommodation provider Ingenia Communities Group (ASX: INA) announced on 21 September 2026 that it had received a new non-binding indicative proposal from Warburg Pincus LLC and its affiliates. The private equity house wants the whole of Ingenia's issued capital, structured as a scheme of arrangement, and was prepared to pay AU$5.05 in cash for every stapled security — reduced by any distributions Ingenia pays out ahead of completion.

That marks a step up from the AU$4.75 the American firm had dangled previously. Directors were unmoved. Having worked through the numbers with financial advisers and outside lawyers, the board concluded the sweetened figure sits well below fair value and would not serve securityholders.

Conditions attached to the bid

Warburg Pincus hedged its approach heavily. Any deal would hinge on finishing due diligence to its satisfaction, papering the transaction, clearing regulators, and winning a unanimous endorsement from Ingenia's directors. One condition stands out: Ingenia would have to walk away from its planned purchase of Peet Limited.

Door left open

Ingenia has relayed its thinking back to Warburg Pincus and its advisers. Directors say they engaged in the first place precisely to test whether a more convincing number could be extracted, and they remain willing to weigh proposals offering genuinely compelling value. To sharpen that assessment, the board appointed Greenhill — a Mizuho affiliate — as its independent adviser. Management says it is pressing ahead with its own growth plans and sees no reason to divert from them. Holders have been told there is nothing for them to do.

Where the group and its shares stand

Ingenia has a market capitalisation of approximately AU$1.7 billion and is included in the S&P/ASX 200. The company operates 96 communities and development sites across its Lifestyle, Gardens, Holidays and Rental businesses. The stock last traded at AU$4.470, up AU$0.149 or 3.472%.
