Weebit Nano Limited (ASX: WBT), a developer of Resistive RAM (ReRAM) memory technology, has disclosed on-market share purchases by three of its directors through Change of Director's Interest Notices (Appendix 3Y). The trades took place on 16 and 17 September 2026 and were worth about AU$216,921 in total. Under ASX Listing Rule 3.19A.2, listed companies must notify the market when a director's interest in its securities changes. The notices give investors a view of how board members are positioning themselves in the company.

Perlmutter Adds 33,000 Shares

Director David Perlmutter bought 33,000 ordinary shares on 16 September 2026 for AU$99,660, or about AU$3.02 per share. The notice also records a transfer of shares from an account held with Mrs Sima Perlmutter into a custodian account, which now holds 992,980 shares.

After the change, Perlmutter's interest comprises:

  • 1,928,500 ordinary shares held through IBI Trust
  • 992,980 shares held with a custodian
  • 2,265,000 unlisted options
  • 196,168 restricted share rights

This brings his total ordinary shareholding to 2,921,480 shares, the largest of the three directors.

Raza Lifts Holding to 320,362 Shares

Director S. Atiq Raza bought 20,000 shares on 17 September 2026 for AU$71,600, about AU$3.58 per share. Some of his shares were also moved between his direct holding and an indirect holding through Morgan Stanley Wealth Management. He now holds 294,112 shares indirectly and 26,250 directly. He also holds 258,750 unlisted options and 67,459 restricted share rights.

Simson Increases Stake Nearly Fourfold

Naomi Simson OAM bought 15,000 shares on 16 September 2026 for AU$45,660.90, about AU$3.04 per share. She holds the shares through NAOMISIMSON COM PTY LTD. Her holding rose from 5,625 to 20,625 ordinary shares, alongside 63,709 restricted share rights.

Trades Outside Closed Period

Weebit Nano confirmed that none of the trades were made during a closed period, so no prior written clearance was needed.

Buying Ahead of Share Price Gains

The directors paid between about AU$3.02 and AU$3.58 per share. With the stock now trading at AU$3.70, all three purchases are showing a paper gain. The market often sees coordinated on-market buying by several directors as a sign of confidence in a company's outlook. It is especially notable when directors spend their own money rather than receiving shares through incentive plans. WBT shares were trading at AU$3.70, up AU$0.18 (5.11%), on 23 September 2026.
