Capricorn Metals (ASX: CMM) and Warriedar Resources have entered a binding agreements under which Capricorn will acquire 100% of Warriedar via a court‑approved scheme of arrangement. Warriedar shareholders will receive one Capricorn share for every 62 Warriedar shares, representing approximately 4.36% ownership of Capricorn post-merger. The deal values Warriedar shares at around A$0.155 each—a ~29% premium compared to their closing price on July 23, 2025.
The acquisition adds Warriedar’s Golden Range Project to Capricorn’s portfolio, including the Ricciardo gold‑antimony deposit and Fields Find gold project—adding 2.3 Moz AuEq (1.38 Moz gold, 60 kt antimony) and expanding Capricorn’s Western Australian resources by ~25%. Capricorn also gains Warriedar’s 0.8 Mtpa processing plant and site infrastructure near its Mt Gibson Gold Project. The Warriedar board and major shareholders support the deal, and Warriedar’s CEO Amanda Buckingham will join Capricorn as consultant for 12 months to ensure continuity.
