Codeifai Secures $2.35 million Placement to Advance Quantum and AI Initiatives

Codeifai Limited (ASX: CDE) has successfully raised $2.35 million through a share placement to sophisticated and professional investors, issuing 117.65 million shares at $0.02 each, along with one free attaching option for every two shares exercisable at $0.04 for three years. The capital will support business development, working capital, and the commercialisation of the proposed acquisition of AntennaTransfer.io, which will be rebranded as QuantumAI Secure, alongside the Trust Codes acquisition. The company also plans to explore a bonus option entitlement issue to reward long-term shareholders, subject to board and ASX approval. Following the placement, Codeifai’s total securities on issue will increase to 886.45 million shares and 391.41 million options. Oakley Capital acted as lead manager, receiving a 6% capital-raising fee and broker incentives. The company believes this funding positions it to strengthen its presence in quantum computing and AI-driven digital brand solutions.
