European Lithium Posts AU$930.6 Million Profit as Merger Plans Advance

Highlights

  • A major accounting gain drives profit, putting earnings quality in focus.
  • Cash reserves strengthen sharply, while operating activities continue consuming funds.
  • Critical Metals merger offers consolidation potential, with completion conditions still outstanding.

European Lithium Limited (ASX: EUR) reported a sharp turnaround in its annual results dated 30 September 2026, recording a net profit of AU$930.6 million for the year ended 30 June 2026. However, the headline result largely reflected an accounting gain associated with its investment in Critical Metals Corp, making the underlying financial picture important for investors.

Accounting Gain Drives Profit Turnaround

The FY2026 profit compared to a net loss of AU$96.8 million in FY2025. The principal driver was a AU$1,275.5 million gain recognised when European Lithium ceased controlling Critical Metals following share sales in October 2025.

This accounting change meant Critical Metals was no longer consolidated as a subsidiary. European Lithium retained a 31% interest at 30 June 2026.

The result also included a AU$163.1 million impairment of investments in associates and AU$129.3 million in its share of associates’ losses. These substantial offsets underline why the reported profit should be assessed separately from recurring operating performance.

Stronger Cash Position Adds Flexibility

Cash and cash equivalents increased to AU$296.3 million from AU$20.0 million a year earlier. Proceeds from investment sales totalled AU$363.0 million, providing a significant source of liquidity.

Operating activities nevertheless used AU$7.5 million, compared to AU$24.8 million in FY2025. The directors did not recommend a dividend.

The stronger cash balance provides financial flexibility, although investment disposals and accounting gains have different implications from sustained operating cash generation.

Critical Metals Merger Shapes Strategy

Under a binding agreement announced in May 2026, Critical Metals proposes acquiring European Lithium’s shares and listed options through schemes of arrangement. Revised terms announced in August link shareholder consideration to Critical Metals’ share price over a specified averaging period.

The proposed combination would consolidate full ownership of Greenland’s Tanbreez rare earths project alongside the Wolfsberg lithium project in Austria, simplifying the ownership structure across the portfolio.

Outlook: Execution Becomes Central

European Lithium expects transaction completion to dominate its next financial year. However, approvals, outstanding conditions and integration uncertainty remain material considerations.

For investors, the next assessment centres on whether liquidity and a simpler ownership structure can support project development. Management has not reliably quantified the merger’s future financial impact, leaving execution milestones central to the investment outlook.
