Dotz Nano Limited (ASX: DTZ) has executed a third deed of variation with investment funds managed by Mercer Street Capital Partners, extending the maturity dates of its Second, Third and Subsequent Tranches of Convertible Notes to 31 March 2027. The agreement also provides for repayment of the First Tranche Convertible Notes, enhancing the Company’s capital management flexibility as it advances its climate technology strategy.
The revised terms introduce temporary conversion restrictions through 30 September 2026 unless the Company achieves a volume-weighted average share price above AU$0.07 for five consecutive trading days. In addition, Dotz has secured the option to settle future conversion notices in cash, while all other key terms of the convertible notes remain unchanged.
Management highlighted that the extension reflects continued support from Mercer Street Capital Partners and reinforces confidence in Dotz’s commercialization strategy, particularly its DotzEarth carbon capture technology platform. The Company remains focused on developing next-generation nanomaterial solutions designed for direct air capture and point-source carbon dioxide mitigation, targeting growing global demand for scalable carbon removal technologies.
