Dyno Nobel Completes Fertilisers Separation with Phosphate Hill Sale

Dyno Nobel Limited (ASX: DNL) announced a binding agreement to sell its Phosphate Hill fertiliser operations to Ryowa II GPS Pty Ltd, a subsidiary of Mayfair Australia Corporation. The transaction represents a key milestone in Dyno Nobel’s strategy to exit the fertilisers segment and focus on becoming a pure-play global explosives business. The sale involves a nominal purchase price of AU$1, with potential deferred payments of up to AU$100 million linked to performance conditions. 

Mayfair will assume operational and environmental responsibilities for the asset, while Dyno Nobel will provide AU$125.9 million to fund future rehabilitation obligations and about AU$80 million of inventory at completion. The transaction is anticipated to be finalised in the third quarter of FY26, pending the necessary regulatory clearances. 

Separately, the company has completed the sale of the Perdaman offtake agreement to Macquarie Group, with potential proceeds of up to AU$145 million tied to project milestones. Dyno Nobel’s explosives division continues to perform strongly and remains on track to meet its FY26 EBIT guidance.
