Orica Resolves CF Litigation and Expands US Explosives Operations
Orica Limited (ASX: ORI) has reached a settlement with CF Industries to resolve litigation that began in October 2023, agreeing to pay US$169.5 million in the second half of FY2026 without any admission of liability. The company stated that the decision removes legal uncertainty and supports the best interests of customers and shareholders. The payment will be funded through existing cash reserves and undrawn committed bank debt facilities.
Alongside the settlement, Orica has agreed to acquire 100 per cent of Nelson Brothers’ explosives business in the United States from its joint venture partner. The transaction involves a payment of US$25 million and the retirement of US$48 million in existing debt, subject to due diligence.
The acquisition is expected to strengthen Orica’s presence in the US quarries and construction markets while expanding its operational footprint through additional emulsion plants, distribution assets, and customer channels. Once fully integrated, the deal is anticipated to increase annual EBIT by around AU$35 million and deliver earnings per share benefits, supporting long-term growth and operational resilience in North America.
