Cobre Limited (ASX: CBE) has published its FY2026 Corporate Governance Statement, which its Board approved and made effective on 29 September 2026. The statement is required under ASX Listing Rule 4.10.3. The framework is based on the fourth edition of the ASX Corporate Governance Council’s Principles and Recommendations, which contains 8 core principles and 35 recommendations. Under the ASX's "if not, why not" approach, companies must explain any recommendation they do not follow.
The statement supplements Cobre's Appendix 4G and Annual Report. The company says it applies the recommendations to the extent they suit its size and the nature of its operations.Cobre shares last traded at $0.377, up $0.042, or 12.686%.
Board Renewal After a Transformative Period
The most notable disclosure concerns Board renewal. After FY2026 ended, the Board started reviewing the skills it has and the skills it needs. Cobre said this was prompted by several major events in FY2025 and FY2026. These include partnerships with BHP and Sinomine on two of its Botswana projects and the acquisition of the Sierra Atacama Copper Mine in Chile.
The company highlighted that its scale and operational complexity have undergone substantial changes over the past 18 months. It said there may be several Board changes and new senior executive appointments, many with local experience in the regions where Cobre operates. These changes would come once suitable top-tier candidates are found.
Board Structure and Independence
Cobre's Board has four directors. Michael Addison and Andrew Sissian are considered independent, which makes up 50% of the Board. The board structure is marginally below the ASX recommendation that a majority of directors should be independent. Executive Chairman Mr Holland is not considered independent, so the company also does not meet the recommendation for an independent chair. Adam Wooldridge has been CEO since December 2022, and a CFO was appointed in April 2026.
Committees Still to Be Formed
Cobre does not yet have separate nomination, audit, risk or remuneration committees, and the full Board handles these matters. The company expects to set up an audit committee, with risk oversight included, during the current FY2027 financial year. It plans to create a joint nomination and remuneration committee when its size and operations justify one.
Policies in Place
Cobre follows many of the other recommendations. It has a Board charter, a diversity policy, a code of conduct, whistleblower and anti-bribery policies, a continuous disclosure policy and a risk management policy. The company has no dedicated internal audit function; instead, the CFO and two finance staff provide the Board with reports on the effectiveness of risk management and internal controls.
