AUB Group Receives AU$45.00 Per Share Takeover Proposal from EQT

AUB Group Limited (ASX: AUB) has confirmed receipt of an unsolicited, confidential, and non-binding indicative proposal from Arbutus Pte. Limited, an entity affiliated with EQT AB, to acquire 100% of AUB via a scheme of arrangement. Under the proposal received on 26 September 2025, AUB shareholders would receive AU$45.00 in cash per share, representing an increase from EQT’s earlier indicative offer of AU$43.00 per share made on 13 September 2025.

The offer price would be reduced by any dividends or distributions declared or paid other than the AU$0.66 per share dividend announced on 26 August 2025. The proposal remains subject to conditions including exclusivity, due diligence, Board recommendation, final internal approvals, and execution of a scheme implementation deed. AUB’s Board has granted EQT a six-week exclusivity period commencing 8 October 2025 to conduct confirmatory due diligence. Macquarie Capital and Allens are acting as AUB’s financial and legal advisers, respectively.
