Peel to Divest South Cobar Copper Project in AU$214 million Deal and Spin Out New Explorer
Peel Mining Limited (ASX: PEX) has agreed to divest its South Cobar Copper Project to Aeris Resources via a Scheme of Arrangement, alongside a proposed demerger of its remaining Cobar Basin assets into a new ASX-listed exploration company.
The transaction implies a fully diluted equity value of approximately AU$214 million, representing a 49.1% premium to Peel’s one-month VWAP and a 174.8% premium to its September 2025 equity raising price. Peel shareholders are set to receive total consideration valued at AU$0.234 per share, comprising 0.3363 Aeris shares per Peel share (valued at approximately AU$0.19 per share) and an indicative entitlement of one NewCo share for every 4.6 Peel shares (valued at approximately AU$0.044 per Peel share).
Following completion, Peel shareholders will collectively hold approximately 20.5% of Aeris and 100% of NewCo, retaining exposure to both development-stage copper assets and ongoing Cobar Basin exploration upside. Directors have unanimously endorsed the proposal and recommend that shareholders vote in favour.
