Dropsuite Limited Receives Court Approval for Scheme of Arrangement with NinjaOne

Dropsuite Limited (ASX: DSE) has received Federal Court of Australia approval to proceed with its proposed acquisition by NinjaOne Australia Pty Ltd through a scheme of arrangement. The Court has ordered Dropsuite to convene a Scheme Meeting for shareholders to vote on the proposal and distribute the Scheme Booklet, which provides transaction details.

The Scheme Booklet, including an Independent Expert’s Report from BDO Corporate Finance Australia Pty Ltd, is expected to be released to the ASX on 02 April 2025 and dispatched to shareholders by 07 April 2025. Shareholders who have opted for electronic communication will receive an email with access links, while others will receive a physical copy by post. The Independent Expert has concluded that the Scheme is fair and reasonable.
