Emu NL Seeks Panel Intervention Over Alleged Shareholder Association

Emu NL (ASX: EMU) has applied with the Panel, raising concerns about an alleged shareholder association linked to an upcoming board spill meeting. The Panel has yet to determine whether to conduct proceedings. EMU, a publicly listed company, recently received a requisition notice under section 249D of the Corporations Act 2001 from four shareholders holding a combined 5.94% stake. The notice calls for a general meeting on 16 April 2025 to remove two of the three current directors and appoint two nominee directors.

EMU asserts that the requisitioning shareholders and specific other individuals are acting in concert to gain board control. It alleges that this group collectively holds voting power exceeding 20%, has engaged in unauthorized acquisitions, and has failed to disclose their association. As a result, EMU seeks final orders imposing voting restrictions, potential forced divestment, corrective disclosure, and reimbursement of costs related to the application.
