Janus Electric Holdings Completes Acquisition of Janus Electric Limited and Advances Capital Raise

Janus Electric Holdings Limited (ASX: JNS) has acquired Janus Electric Limited following shareholder approval at its General Meeting held on 28 March 2025. The completion satisfies all conditions under the Share Purchase Agreement dated 19 February 2025, resulting in the issue of 50 million ordinary shares to the shareholders and noteholders of Janus Electric Limited.

The company is progressing with its capital raise, as outlined in its 25 February 2025 prospectus, including issuing the associated securities. Janus Electric Holdings will make a further announcement once it satisfies all ASX conditions for reinstatement to trading by the pre-quotation disclosure requirements detailed in the 06 May 2025 ASX update. This marks a significant step in the company’s strategic transition and positions it for future growth in the electric heavy vehicle and energy technology sectors.
