Peak Rare Earths Limited (ASX: PEK) has entered into a binding Scheme Implementation Deed with Ganzhou Chenguang Rare Earths New Material Co., Ltd., a wholly-owned subsidiary of Shenghe Resources, for a proposed acquisition of 100% of Peak via a scheme of arrangement. If implemented, Peak shareholders will receive approximately AU$0.359 per share in cash, representing a 199% premium to the company’s last closing price of AU$0.12 on 09 May 2025.
To support operations during the Scheme process, Peak will launch a non-renounceable entitlement offer to raise to AU$7.5 million at AU$0.10 per share. Shenghe, already Peak’s largest shareholder with a 19.86% stake and binding offtake rights to the Ngualla Project, has committed to participate fully in the Entitlement Offer. Proceeds will support working capital, Ngualla Project costs, and transaction expenses. The Scheme remains subject to shareholder, court, and regulatory approvals.
