Talga Group Ltd (ASX: TLG) has secured binding commitments to raise AU$10 million through a two-tranche share placement priced at AU$0.40 per share, representing a 9.9% discount to the 10-day VWAP. The Placement received strong support from institutional and sophisticated investors, including Pentwater Capital, Yandal Investments, and all Talga directors.
The capital raised will support pre-FID activities for the Vittangi Anode Project, including scaling up Talnode®-C supply to offtake partners, advancing project financing, securing grants, and general working capital. The Placement involves issuing 25 million new shares, or 5.8% of Talga’s current capital, along with one free attaching unlisted option for every three shares (exercise price AU$0.58, valid for two years). Tranche 1 will settle on 28 May 2025, while Tranche 2 (Director Participation) is subject to shareholder approval in late June 2025.
