Yowie Group Faces Capital Raising Changes After ASIC Ruling.

Yowie Group Limited (ASX: YOW) has provided an update on its capital raising requirements following compliance issues under the Corporations Act 2001 (Cth). The company faced multiple trading suspensions in late 2024 and early 2025 due to delays in lodging financial reports. Governance changes occurred in June 2025 when shareholders replaced the former board with new directors.

On 6 August 2025, ASIC determined Yowie breached reporting obligations under sections 302 and 320, leading to its exclusion from using section 713 until August 2026. This section allows the use of a short-form, transaction-specific prospectus for continuously quoted securities. As a result, Yowie must issue a full prospectus for any capital raising within this period, increasing both preparation time and costs. The company’s new board is now focused on compliance, governance improvement, and strategic planning to restore investor confidence.
