Kincora Copper Limited (ASX: KCC) has executed definitive Share Purchase Agreements to divest its wholly owned Mongolian subsidiaries to a nominee of Tumen Ail Coal LLC (TAC), marking a significant step in reshaping its asset portfolio. The transaction carries a total staged consideration of US$10.00 million, payable to Kincora free of taxes, levies and fees, excluding certain contractual obligations.
Following the previously received non-refundable option payment of US$1.50 million, the company is now scheduled to receive an additional US$3.50 million within five business days. The remaining US$5.00 million will be placed into escrow and released upon completion of shareholder registration changes for the Mongolian subsidiaries, which is expected before the end of 2026. Management believes the divestment will strengthen the company’s financial position, sharpen its strategic focus on Australian gold-copper exploration projects, and support further advancement of its hybrid project generator model across the Lachlan Fold Belt and Condobolin region in New South Wales.
