European Lithium Updates Merger Terms with Critical Metals Corp.
European Lithium Limited (ASX: EUR) has revised key terms of its proposed merger with NASDAQ-listed Critical Metals Corp. (NASDAQ: CRML), with the companies signing a second deed amending their Scheme Implementation Deed. The revised structure replaces the previous fixed consideration of 0.035 CRML shares per EUR share with a floating transaction ratio linked to CRML’s 20-day VWAP.
Under the new mechanism, EUR shareholders could receive up to 0.045 CRML shares per EUR share when the CRML VWAP is at or below US$8.00, while the minimum ratio of 0.025 applies at or above US$16.00. The current VWAP indicates the maximum ratio would apply, representing an approximately 28.6% increase over the previous ratio. EUR expects to release the Scheme Booklet in early September, with implementation targeted for October 2026, subject to required shareholder, optionholder and Court approvals. EUR shareholders are expected to own about 38% of the combined group.
