TPG Global Tables AU$24.55 Per Share Takeover Proposal for EQT Holdings
EQT Holdings Limited (ASX: EQT) has received an unsolicited, indicative and non-binding takeover proposal from TPG Global, LLC to acquire all outstanding EQT shares through a scheme of arrangement. Announced on 18 August 2026, the proposal values the company at an indicative AU$24.55 cash per share, subject to adjustment for any dividends declared or paid.
The proposal remains subject to several conditions, including due diligence, TPG Investment Review Committee approval, agreement on transaction documents, a unanimous EQT Board recommendation and regulatory clearances from authorities including FIRB, ACCC and APRA. EQT has appointed UBS as financial adviser and Herbert Smith Freehills Kramer as legal adviser to assess the proposal.
EQT stressed that there is no guarantee the proposal will progress to a binding offer or result in a completed transaction, so shareholders do not need to take action at this stage. The company is also scheduled to release its FY26 results on 20 August 2026, including a decision on the final dividend.
