Jindalee Moves Closer to US Elemental Deal Following Updated SEC Submission
Jindalee Lithium Limited (ASX: JLL) has taken another step toward completing its planned combination with US Elemental after submitting revised Form S-4 documentation to the US Securities and Exchange Commission. The updated filing incorporates responses to feedback provided by the regulator in late July 2026, moving the transaction through the next stage of assessment. Regulatory effectiveness of the filing remains an important prerequisite before Constellation Acquisition Corp I can seek shareholder approval and advance the deal toward completion. Jindalee is working toward finalising the transaction during the second half of 2026, although several regulatory and customary conditions remain outstanding. If successfully completed, US Elemental is intended to trade on NASDAQ as ULIT and will house Jindalee’s US operations, including the McDermitt Lithium Project in Oregon. Jindalee is anticipated to hold at least 80% of the combined entity, subject to customary adjustments. The proposed structure also includes plans to secure approximately US$20–30 million of new capital.
