Notice of Hearing Proposed Scheme of Arrangement

Mad Paws Holdings Limited (ASX: MPA) has announced that the Supreme Court of New South Wales will hold a hearing to consider approving a proposed scheme of arrangement. Under the proposal, Rover Group, Inc. (Rover) aims to acquire all outstanding shares of Mad Paws.

This follows the Court’s directions issued on 17 September 2025, which authorised Mad Paws to circulate its Scheme Booklet—containing the explanatory statement and notice of meeting—and to convene a shareholder vote. The Scheme Meeting will take place at 10:30 a.m. (Sydney time) on Friday, 24 October 2025, where shareholders will decide on the proposal.

If the scheme receives shareholder approval, a Second Court Hearing is scheduled for 3:00 p.m. (Sydney time) on Monday, 3 November 2025, at the Supreme Court of New South Wales, 184 Phillip Street, Sydney. Any shareholder intending to oppose the arrangement must file a notice of appearance and an accompanying affidavit, to be served on Mad Paws through Talbot Sayer Lawyers, Brisbane.
