AU$11 Million Placement Successfully Completed
Jade Gas has completed settlement of its previously announced AU$11.0 million private placement, marking an important financing milestone for the company. Under the placement, 91,666,668 new fully paid ordinary shares will be issued at AU$0.12 per share using the company's available placement capacity under ASX Listing Rule 7.1. Management stated that the successful completion of the raising significantly strengthens Jade's financial position and provides the resources required to accelerate the next phase of commercial development across its Mongolian gas portfolio. Following settlement, the company reported a cash balance exceeding AU$20 million, placing it in a stronger position to execute its near-term strategic priorities.
Capital to Support Commercial and Strategic Growth
The majority of the funds will be directed towards advancing Jade's commercial and strategic initiatives, including progressing a proposed Hong Kong Stock Exchange listing aimed at expanding the company's access to international capital markets. Additional funding will support tenure preservation, pre-development activities and the assessment of further development opportunities across the Tavan Tolgoi Coal Bed Methane Basin. The company also intends to strengthen working capital, fund placement-related costs and expand its management, technical and operational teams as development activities continue to increase.
Funding Reinforces Development Momentum
Management identified completion of definitive commercial agreements by the end of the third quarter of 2026 as an immediate priority following the successful placement. The strengthened balance sheet is also expected to support continued execution of the company's broader growth strategy, including expanding its operational capabilities and progressing commercialisation initiatives across its Mongolian asset base. According to Executive Director Joe Burke, the placement reinforces Jade's ability to advance the TTCBM Project despite recent challenging market conditions while providing greater financial flexibility for future growth.
Enhanced Option Structure Rewards Investors
In recognition of investor participation, Jade has revised the terms of the attaching unlisted options associated with the placement. Instead of one option for every two placement shares originally proposed, participants will now receive one unlisted option for every placement share subscribed. Each option will carry an exercise price of AU$0.15 and remain exercisable for three years from the date of issue. A total of 91,666,668 attaching options will be issued to placement participants, while the broker options issued to the Joint Lead Managers will also be amended to match the revised terms.
