The company announced plans to establish a Texas-incorporated parent company, subject to shareholder, regulatory and court approvals, while also appointing Michael J. Loparco as an independent non-executive director, effective 3 August 2026. According to the announcement, the initiatives are intended to align IperionX’s corporate structure, capital markets framework and leadership with its expanding US-focused operations.
A Strategic Shift Towards the United States
The proposed redomiciliation would see IperionX relocate its ultimate parent company from Australia to Texas, while maintaining its underlying assets, operations and long-term strategy. Subject to final approvals, the new US parent's common stock is expected to trade directly on Nasdaq, replacing the existing American Depositary Share (ADS) structure.The company said the move reflects the fact that its principal manufacturing operations, workforce, customers and government-supported programs are already concentrated in the United States. Management believes the new structure could simplify access for US institutional investors, improve trading liquidity and strengthen capital market visibility without altering the company's core business.
Board Strengthened for the Next Growth Phase
Alongside the proposed corporate restructuring, IperionX appointed Michael J. Loparco as an independent non-executive director. Loparco brings more than 25 years of experience across advanced manufacturing, industrial technology and global supply chains, including leadership roles at Symbotic Inc. and Jabil Inc.Executive Chairman Todd Hannigan said the appointment adds valuable expertise as IperionX scales manufacturing capacity, broadens product capabilities and advances commercialisation across its integrated titanium platform.
Building an Integrated American Titanium Supply Chain
IperionX continues to develop an end-to-end US titanium platform spanning critical mineral resources in Tennessee, titanium metal production in Virginia and technology research in Utah.
