Adslot Receives Relief as Takeovers Panel Declines Proceedings
Adslot Ltd (ASX: ADS) announced that the Australian Takeovers Panel has declined to conduct proceedings following an application lodged by Mr Andrew Barlow on 21 July 2026 regarding the company’s affairs. The application questioned an off-market transfer of approximately 12.24% of Adslot shares, alleging that the transaction indicated an undisclosed association between certain shareholders and that it had not taken place in an efficient, competitive and informed market.
After examining the material provided, the Panel found that the application lacked enough supporting evidence to justify additional enquiries. While it acknowledged that aspects of the off-market transfer could be open to commercial scrutiny, it determined that this alone was not enough to warrant proceedings. The Panel also found there was insufficient supporting material to establish an association between shareholders and determined there was no reasonable prospect of declaring unacceptable circumstances. As a result, the application was dismissed, with the Panel confirming that detailed reasons for its decision will be released on its website in due course.
