Cygnus Metals Advances Key Milestone in Proposed CAML Acquisition
Cygnus Metals Limited (ASX: CY5) has taken another step forward in its proposed acquisition by Central Asia Metals PLC (CAML), confirming that a draft Scheme Booklet, including an independent expert’s report, has been lodged with the Australian Securities and Investments Commission (ASIC) for review. This marks a significant milestone in the planned scheme of arrangement, with an initial court hearing targeted for 13 August 2026. Subject to approvals, the Scheme Booklet is expected to be distributed shortly afterwards, while the shareholder meeting is anticipated in mid-September and implementation is targeted for early October 2026.
The company also confirmed that the North Macedonian merger clearance condition has been satisfied. Meanwhile, the required documentation for Kazakhstan merger clearance has been submitted and is currently under review by the relevant authorities. The Cygnus board has recommended that shareholders approve the Scheme, provided no more favourable offer is presented and the independent expert continues to determine that the proposal serves shareholders' interests.
