A Major Acquisition Puts Ausgold in Focus

Ausgold Limited (ASX: AUC) captured strong investor attention on 18 August 2026 after the company’s shares jumped 23.474% to $1.315. The sharp move followed the 17 August 2026 announcement that OceanaGold Corporation had entered into a binding Scheme Implementation Deed to acquire 100% of Ausgold through a court-approved scheme of arrangement.Under the proposed transaction, Ausgold shareholders would receive 0.03365 new OceanaGold shares for every Ausgold share, representing an implied offer price of AU$1.36 per share based on the reference market conditions. The transaction places an approximately AU$776 million fully diluted equity value on Ausgold. Shareholders will also have the option to elect for cash consideration, subject to a maximum aggregate cash pool of AU$194 million.

Katanning Emerges as the Key Attraction

At the centre of the deal is Ausgold’s flagship Katanning Gold Project in Western Australia. The project has Mineral Resources of 2.44 million ounces and Ore Reserves of 1.33 million ounces, with targeted average annual production of approximately 120,000 ounces over a mine life exceeding 10 years.OceanaGold’s presentation describes Katanning as a low-capital, open-pit development opportunity in a Tier-1 mining jurisdiction. The project has more than 3,000 square kilometres of exploration ground, while a 54,000-metre drilling program is underway to improve resource confidence and investigate further growth opportunities.

The Next Catalyst Could Be the Vote

The Scheme remains subject to shareholder, regulatory, court and other approvals. Ausgold expects to dispatch the Scheme Booklet in late October 2026, with the shareholder meeting currently expected in late November. With the acquisition potentially providing a stronger financial and operational pathway for Katanning, the market will now focus on whether the proposed transaction progresses smoothly and unlocks the project's next stage of development.Note- All data presented is based on information available at the time of writing.Disclaimer for Kapitales ResearchThe materials provided by Kapitales Research, including articles, news, data, reports, opinions, images, charts, and videos ("Content"), are intended for personal, non-commercial use only.
